STANDARD TERMS
& CONDITIONS

By engaging Create Digital Success LLC (“CDS,” “we,” “our,” or “us”), you (“Client”) agree to the following terms governing all marketing and digital services provided:
1. Scope of Services
CDS delivers tailored solutions including, but not limited to: pay-per-click (PPC) and search engine marketing (SEM), Google Ads management, local search strategies, SEO, content creation, analytics reporting, social media management, graphic/print design, and full-scale digital campaign strategy. Deliverables and timelines will be defined in your custom proposal or contract.
2. Payment Terms
Invoices are issued per project, retainer, or service package with payment due net 15 unless stated otherwise. Late payments may incur a 1.5% monthly fee. Deposits may be non-refundable depending on work completed.
3. Intellectual Property
Final deliverables become Client property upon full payment. CDS retains limited rights to display creative work in our portfolio unless bound by a separate NDA. Licensed third-party content remains governed by its original terms.
4. Confidentiality & Data Protection
We uphold strict confidentiality standards and comply with privacy regulations (e.g., GDPR, CCPA). Client data is handled securely and lawfully. Clients are responsible for securing consents before providing user data to CDS.
5. Foreign & Government Clients
Government and foreign Clients must comply with all local procurement and data regulations. CDS is not a federal contractor unless expressly agreed in writing. Services may not be used in violation of U.S. export control laws.
6. Compliance & Export Restrictions
Clients must comply with U.S. trade regulations (EAR, OFAC, ITAR) and affirm that services will not be used in restricted regions or by prohibited parties.
7. Limitation of Liability
Services are provided "as-is." CDS disclaims all warranties and limits liability to amounts paid under the applicable agreement. No liability for indirect or consequential damages.
8. Cancellation & Force Majeure
Either party may terminate services in writing. Refunds for incomplete work are at CDS’s discretion. CDS is not responsible for delays due to force majeure events including acts of God, cyberattacks, or government disruption.
9. Governing Law & Arbitration
This Agreement is governed by the laws of the State of Alabama. Any disputes shall be resolved through binding arbitration in Baldwin County, Alabama, under AAA rules. Both parties waive trial by jury.
10. Modification
Terms may be updated with 14 days’ notice. Continued use of Services confirms acceptance.
